LEGAL ADVICE. Hello, I need legal advice regarding a rental deposit dispute. I paid IDR 5,000,000 as a deposit for a five-year commercial lease in Bali, which was intended to be deducted from the rent upon signing the contract. I was ready to sign and begin renovations, but new terms were repeatedly added to the contract without prior discussion. We ultimately could not reach an agreement, and no lease was signed. The landlord now claims the deposit was used for administrative and legal expenses. However, they have confirmed in writing that they will refund the IDR 5,000,000 only after securing a new tenant, without specifying a deadline. I would like to know my legal options for recovering the deposit, whether I can claim compensation, and the estimated legal costs. : RE: REFUND OF RENTAL DEPOSIT (IDR 5,000,000) – COMMERCIAL LEASE IN BALI

Dear Client, Thank you for your question. Below is our assessment based on the facts you described. It is governed mainly by the Indonesian Civil Code (KUHPerdata). 1. Your legal position Your position is strong, for three reasons. • No lease was ever concluded. A contract only exists once both parties agree on its terms (Article 1320 KUHPerdata). The landlord kept adding new terms, no agreement was reached and nothing was signed. That means no lease relationship came into being. The IDR 5,000,000 was paid as an advance on rent under a lease that never started, so the landlord has no legal basis to keep it. • Money paid without an obligation must be returned. Under Article 1359 KUHPerdata, a payment made without an underlying debt can be reclaimed. Keeping the money would also amount to unjust enrichment. • The “administrative and legal expenses” argument is weak. Unless you agreed in writing, before or when you paid, that the deposit could cover such costs, the landlord carries his own costs of preparing a draft contract. This is especially true because the deal failed over terms the landlord introduced. The landlord’s written promise to refund is very helpful to you. It is an acknowledgment of debt and settles the question of whether the money is owed. The only issue left is when it must be paid. A condition of “after we find a new tenant” with no deadline is uncertain and depends largely on the landlord’s own efforts. You never agreed to it. Under Articles 1238 and 1243 KUHPerdata, you can demand payment within a reasonable deadline through a formal demand letter (somasi). If the landlord fails to pay by then, he is in default (wanprestasi). 2. Options to recover the deposit (recommended order) 1. Formal demand letter (somasi). Send a written demand that cites the landlord’s refund acknowledgment and sets a firm deadline, such as 14 days. State that you will take legal action if payment is not made. You can send it yourself or through a lawyer, but a lawyer’s letterhead often prompts payment. Keep proof of delivery. 2. Negotiation or mediation. If the landlord asks for time, accept a written payment schedule with fixed dates, for example a signed statement or a settlement deed. 3. Small claims lawsuit (Gugatan Sederhana, Supreme Court Regulation No. 4 of 2019). This is the most suitable court route for your case: o It covers claims up to IDR 500 million. o A single judge decides, within 25 days of the first hearing. o You do not need a lawyer, and you can file online through e-Court. o You file at the District Court where the landlord lives (for example PN Denpasar, Badung/Mengwi or Gianyar, depending on the address). o You must attend hearings in person. If you live outside that court’s area, you need a representative or a correspondence address within it. o Bring the proof of transfer, the written refund acknowledgment and your correspondence about the changing terms. 4. Criminal complaint (embezzlement). We do not recommend this. The police generally treat this kind of dispute as a civil matter, and a complaint may only harden the landlord’s position. 3. Can you claim compensation? Yes, but your realistic recovery is limited. • Statutory interest of 6% per year on IDR 5,000,000 (Article 1250 KUHPerdata), counted from the date the landlord is in default after the somasi. This is the most certain additional claim, but the amount is small. • Actual losses (ganti rugi) under Article 1243 (default) or Article 1365 (unlawful act / bad-faith negotiation). These can include costs you incurred in reliance on the lease, such as design work, contractor quotations or materials ordered. Each one must be proven with receipts and must be directly caused by the landlord’s conduct. If renovation had not started, these losses are likely minimal. • Lost profit and immaterial damages are hard to prove in a case like this, and courts rarely award them for small claims. • If you win, the court also orders the losing party to pay the court costs. 4. Recommendation 1. Send a somasi with a 14-day deadline. 2. If there is no payment, file a Gugatan Sederhana yourself, claiming the IDR 5,000,000 plus statutory interest and court costs. Hiring a lawyer for full litigation would cost more than the amount you are trying to recover. Keep all evidence, especially the written refund promise, the proof of transfer and the contract drafts showing the added terms. This opinion is based solely on the facts you provided and is for general guidance. Reviewing the actual documents (payment receipt, correspondence and draft contracts) may change the assessment. Kind regards,
